1. Acceptance of Terms
By engaging XILANEO for services—including custom software development, mobile and web application engineering, AI visual production, and 3D WebGL configurators—you agree to these Terms & Conditions and any written proposal, statement of work (SOW), or invoice issued for your project.
2. Services
XILANEO provides professional services that may include:
- Custom software publishing and application engineering
- Enterprise mobile and web application development
- AI-powered TV commercials, media production, and VFX pipelines
- Interactive 3D WebGL product configurators and immersive web experiences
Exact deliverables, timelines, and milestones are defined in the project SOW or proposal. Work outside that scope may require a change order and additional fees.
3. Client Responsibilities
Clients agree to provide timely feedback, access credentials (where required), brand assets, and decisions needed to keep the project on schedule. Delays caused by missing client inputs may extend delivery dates.
4. Intellectual Property
Unless otherwise agreed in writing, intellectual property in final deliverables transfers to the client upon full payment of all fees due for the project (including retainers and milestone invoices).
Until full payment is received, XILANEO retains ownership of all work product, source files, and unfinished assets. Pre-existing tools, frameworks, libraries, and XILANEO internal IP remain the property of XILANEO or their respective licensors.
5. Non-Disclosure
XILANEO treats client business information, unpublished product plans, and confidential project materials as confidential. We will not disclose such information to unauthorized third parties, except where required by law or necessary for payment processing and approved subcontractors under equivalent confidentiality obligations.
6. Payments
Fees, retainers, and milestone schedules are stated in the proposal or invoice. Payments may be processed through authorized gateways such as PayFast or AsaanPay. Work may be paused if invoices remain unpaid beyond agreed terms.
7. Warranties & Limitation
Services are provided professionally and in good faith. Except as required by law, XILANEO disclaims warranties not expressly stated in writing. Liability for any claim related to a project is limited to the fees paid to XILANEO for that specific engagement.
